Key terms

• Mutual: both parties are Discloser and Recipient of confidential information.
• Purpose: confidential information may only be used to evaluate and progress the potential business relationship described below.
• Standard of care: the same degree of care each party uses for its own confidential information, and no less than a reasonable standard.
• Exclusions: information that is public, already known, independently developed, or lawfully received from a third party.
• Term: confidentiality obligations survive for the term below from the date of signature.
• Governing law: as specified below; disputes to the competent courts of that jurisdiction.
